AMD has announced its acquisition of ZT Systems, a leading data center infrastructure provider, in a $4.9 billion deal. This strategic move aims to strengthen AMD’s capabilities in the competitive A.I. chip market, particularly against rival Nvidia. The purchase marks one of the largest acquisitions in AMD’s history, indicating its aggressive expansion strategy in the rapidly growing field of artificial intelligence. For instance, last month, AMD acquired the Finnish startup Silo AI for $665 million to bolster its A.I. chip capabilities. Nvidia, on the other hand, maintains a dominant position with an estimated 70 percent market share in A.I. chips and has announced various initiatives to stay ahead. Both companies are pushing the boundaries in A.I. chip development, with Nvidia introducing its “Rubin” platform and AMD setting ambitious annual development goals.

AMD will acquire ZT Systems through a combination of cash and stock, valued at $4.9 billion. The announcement highlighted that ZT, headquartered in Secaucus, N.J., specializes in systems essential for data centers, which are integral to housing clusters of A.I. chips. The acquisition is expected to close in the first half of 2025, pending regulatory approval.

Leadership and Workforce Integration

ZT’s CEO Frank Zhang will join AMD to lead its manufacturing business, while ZT President Doug Huang will oversee AMD’s design and customer enablement teams. Approximately 1,000 of ZT’s 2,500 engineers will be retained, enhancing AMD’s talent pool. This restructuring underscores AMD’s commitment to leveraging ZT’s systems design and rack-scale solutions expertise.

The acquisition is a clear indication of AMD’s strategy to challenge industry leader Nvidia, which has a market cap significantly higher than AMD’s. AMD’s recent deals and increased investments in A.I. demonstrate its ambition. The company has spent over $1 billion in the last year on enhancing its software capabilities and R&D activities in A.I.
